Terms of Service

These Terms of Service ("Terms") govern your access to and use of ClientFlow ("we," "us," or "our") websites, applications, and related services (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Agreement

These Terms together with our Privacy Policy and any order form or subscription you enter into with us form the entire agreement regarding the Service. If there is a conflict between an executed order and these Terms, the order prevails for that subject matter only.

2. The Service

ClientFlow provides cloud software for client communication, file sharing, approvals, and related workflows. We may modify or discontinue features with reasonable notice where practicable. We use commercially reasonable efforts to maintain availability but do not guarantee uninterrupted access.

3. Accounts and eligibility

You must provide accurate registration information and safeguard your credentials. You are responsible for all activity under your account. You must be at least the age of majority in your jurisdiction to enter into these Terms. You may invite team members and clients; you are responsible for their use of the Service in line with these Terms and applicable law.

4. Acceptable use

You will not misuse the Service, including by attempting to probe, scan, or test vulnerabilities without authorization; interfere with other users; distribute malware; send spam; infringe intellectual property or privacy rights; or process unlawful content. We may suspend or terminate access for violations.

5. Customer data and privacy

You retain ownership of content you submit. You grant us a limited license to host, process, and display that content solely to provide the Service. Our Privacy Policy describes how we handle personal data. Where applicable, a separate data processing agreement may apply for organizations that require it.

6. Fees and trials

Paid plans, trials, and billing are described at the time of purchase. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for where applicable. We may change pricing with notice in accordance with your subscription terms.

7. Intellectual property

We own the Service, including software, branding, and documentation. These Terms do not grant you any rights except the limited right to use the Service under your subscription. Feedback you provide may be used by us without obligation to you.

8. Disclaimer and liability

Except where prohibited by law, the Service is provided "as is." To the maximum extent permitted, we disclaim implied warranties. Our total liability for claims arising out of these Terms or the Service is limited to amounts you paid us in the twelve months before the claim (or fifty euros if no fees applied). We are not liable for indirect or consequential damages.

9. Term and termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or legal requirements. Provisions that by nature should survive will survive termination. Export or deletion of your data may be available as described in-product or in our Privacy Policy.

10. General

These Terms are governed by the laws designated in your main contracting entity's jurisdiction, excluding conflict-of-law rules. If any provision is unenforceable, the remainder stays in effect. Notices may be sent to the email associated with your account or to hello@clientflow.app.
